Summary of Changes

This update adds the Product Name Change Amendment (VoicePilot is now Ethica) and assistant-specific terms addressing account sharing, user review responsibility, retention and deletion, broker/admin access, proprietary system prompts and internal methods, MLS/listing data scope, and AI training limitations.

Addendum Incorporation and Precedence

The MLS Data Addendum (Addendum A) and the Ethica Assistant Addendum (Addendum B, formerly the VoicePilot™ Addendum) are incorporated into and form part of these Terms of Service. Except as expressly modified by an Addendum, these Terms of Service remain in full force and effect. In the event of a conflict between an Addendum and these Terms of Service, the Addendum controls solely with respect to the subject matter of that Addendum.

Part I — Terms of Service

1 · Agreement to Terms

By accessing or using Ethica AI (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of the Terms, you do not have permission to access the Service.

2 · Intellectual Property Rights

The Service and all original content, features, and functionality are owned by Ethica AI and are protected by international copyright, trademark, patent, trade-secret, and other intellectual-property laws.

System prompts, model instructions, product workflows, non-public feature behavior, evaluation methods, internal documentation, and related technical or operational materials are Ethica confidential and proprietary information. Users may not record, copy, publish, reverse engineer, extract, disclose, or use those materials except as expressly authorized by Ethica.

3 · User Account

Account Responsibilities

You are responsible for maintaining the confidentiality of your account.
You are responsible for all activities that occur under your account.
You must notify us immediately of any unauthorized access or breach.
You must be 13 years of age or older to use the Service.
You must provide accurate, complete, and up-to-date information.
You may not use the Service for any illegal purpose.
User accounts are for individual authorized users only. You may not share credentials, permit another person to access the Service through your account, or use another person's account. You are responsible for all activity under your account, including activity by anyone who gains access through your credentials.

4 · Limitation of Liability

In no event shall Ethica AI, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including (without limitation) loss of profits, data, use, goodwill, or other intangible losses.

5 · Changes to Service

Ethica AI reserves the right to withdraw or amend the Service, and any service or material provided via the Service, in its sole discretion without notice.

6 · Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Ethica AI is established, without regard to its conflict-of-law provisions.

7 · Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice before new terms take effect.

Addendum A — MLS Data Addendum

This MLS Data Addendum (“Addendum”) amends and supplements the Ethica Terms of Service with respect to every Multiple Listing Service (“MLS”) with which Ethica maintains a current data-license agreement. This Addendum applies only to the use of MLS Data as defined below.

1 · Definitions

1.1 “MLS Data.” All real-estate listing information, photographs, images, virtual tours, text, graphics, maps, reports, statistics, roster information, or other data that Ethica receives—directly or indirectly—from an MLS under a data-license agreement.

1.2 “Authorized User.” An individual who (a) is a licensed real-estate professional in good standing with at least one MLS, (b) has been granted Platform credentials by Ethica, and (c) has agreed to comply with this Addendum, the Terms, and all applicable MLS rules and regulations.

2 · Ownership & Attribution

2.1 Proprietary Rights. All intellectual-property rights in the MLS Data remain the exclusive property of the supplying MLS, the listing broker, and/or other rights holders. Ethica and Authorized Users obtain only a limited, revocable right to use the MLS Data as expressly provided in this Addendum.

2.2 General Attribution. Wherever MLS Data is displayed, Ethica will:

identify the listing brokerage name and the contact information supplied by the listing Participant; and
display the following disclaimer (or substantially similar wording mandated by the relevant MLS): “Information is deemed reliable but not guaranteed accurate by the MLS.”

3 · Permitted Uses

3.1 Internal Display. Ethica may store, process, and display MLS Data solely within its proprietary web-based and mobile software platform (the “Platform”) for the benefit of Authorized Users engaged in bona-fide real-estate activities.

3.2 Consumer-Facing Output. Authorized Users may share machine-generated reports, videos, or recommendations derived from MLS Data with prospective buyers and sellers, provided each output (i) pertains to a property or set of properties in which the consumer has expressed interest, (ii) includes the attribution required by Section 2, and (iii) omits any MLS fields designated confidential or restricted from public display.

4 · Prohibited Uses

Ethica and Authorized Users may not:

copy, scrape, harvest, download, export, or otherwise obtain MLS Data for use outside the Platform;
license, sublicense, sell, resell, distribute, syndicate, or make MLS Data (or any derivative dataset) available to unaffiliated third parties;
create or augment a public database of property or market information using MLS Data;
alter or remove any copyright, trademark, or attribution notice associated with MLS Data; or
use MLS Data in a manner that violates the Fair Housing Act, state or local anti-discrimination laws, or any MLS rules.

5 · Data Accuracy & Disclaimer

5.1 As-Is Basis. MLS Data is provided “AS IS,” “WITH ALL FAULTS,” and “AS AVAILABLE.” Each MLS, Ethica, and the listing broker disclaim all express or implied warranties, including any warranty of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose, or non-infringement.

5.2 Verification Responsibility. Authorized Users and consumers are solely responsible for verifying MLS Data before relying on it in any real-estate transaction.

6 · Data Security & Confidentiality

6.1 Safeguards. Ethica will maintain reasonable administrative, technical, and physical safeguards—including encryption in transit and at rest, access controls, and audit logging—to protect MLS Data against unauthorized access, disclosure, alteration, or destruction.

6.2 User Credentials. Authorized Users must keep their Platform credentials confidential and may not share access with anyone else. Ethica may revoke credentials immediately upon learning of misuse.

7 · Data Correction & Removal

7.1 Takedown. Ethica will remove or correct MLS Data within twenty-four (24) hours after receiving written notice from an MLS that the data is inaccurate, outdated, or displayed in violation of MLS rules.

7.2 Post-Termination Purge. Upon termination or expiration of Ethica’s license with a given MLS, Ethica will purge all MLS Data from that MLS within thirty (30) days, except to the extent retention is legally required.

8 · Indemnification

8.1 By Ethica. Ethica will indemnify, defend, and hold harmless each MLS (and its officers, directors, employees, and agents) from any third-party claim arising out of Ethica’s gross negligence, willful misconduct, or material breach of this Addendum.

8.2 By Authorized User. Each Authorized User will indemnify, defend, and hold harmless Ethica and the applicable MLS(s) from any third-party claim arising out of the Authorized User’s breach of this Addendum, the Terms, or MLS rules.

9 · Fair Housing & Non-Discrimination

Ethica and all Authorized Users must comply with the federal Fair Housing Act, Equal Housing Opportunity requirements, and all applicable state and local fair-housing laws. The Platform will not generate or display content expressing a preference or limitation based on any protected class.

10 · Conflicts & Order of Precedence

If any provision of this Addendum conflicts with the Terms, this Addendum controls with respect to MLS Data. All other provisions of the Terms remain in full force and effect.

Except as expressly set forth in this Addendum, all other provisions of the Terms remain unchanged.

Product Name Change Amendment to Terms of Service

Effective Date: August 10, 2026

Ethica AI, Inc. has discontinued the use of “VoicePilot” as the name of its AI-powered transaction assistant. The product previously referred to as “VoicePilot” is now called “Ethica.”

Every reference to “VoicePilot,” “VoicePilot™,” or the “VoicePilot functionality” in the Ethica Terms of Service, including Addendum B, will be understood as a reference to the AI-powered transaction assistant now called “Ethica.”
Addendum B, previously titled the “VoicePilot™ Addendum,” will be referred to as the “Ethica Assistant Addendum.”
This amendment reflects a change in product name only. It does not change the functionality of the service or any rights, responsibilities, limitations, disclaimers, or other provisions contained in the Terms of Service.
Historical references to VoicePilot describe the same product now known as Ethica.

Except as expressly stated in this amendment, the Terms of Service and all incorporated addenda remain unchanged and in full force and effect.

Addendum B — Ethica Assistant Addendum

This Ethica Assistant Addendum (“Addendum,” formerly the VoicePilot™ Addendum) supplements and amends the Ethica Terms of Service (“Terms”) solely with respect to the Ethica Assistant functionality. This Addendum applies only to users of the Ethica Assistant feature. Capitalized terms not defined in this Addendum have the meanings set forth in the Terms or the MLS Data Addendum.

1 · Ethica Assistant Service Description

1.1 Ethica Assistant. The “Ethica Assistant” (formerly known as “VoicePilot™”) is a voice-enabled, AI-powered software feature within the Ethica platform designed to assist Authorized Users with capturing information, organizing transaction details, and generating draft outputs to help populate real-estate-related forms and workflows based on user-provided input.

1.2 Assistive Tool Only. The Ethica Assistant is an assistive productivity tool only. It may generate draft text and may help prefill or organize information, but it does not prepare final documents, and it does not interpret, review, validate, or guarantee the legal sufficiency, accuracy, completeness, or compliance of any document, form, communication, or transaction.

2 · No Legal, Brokerage, or Professional Advice

The Ethica Assistant does not provide legal advice, brokerage advice, escrow or title services, tax advice, financial advice, or regulatory or compliance determinations. All outputs generated by the Ethica Assistant are based solely on user input and automated processing. Authorized Users remain solely responsible for reviewing all materials and for ensuring accuracy, completeness, legal compliance, MLS compliance, brokerage compliance, and suitability for use in any real-estate transaction.

3 · Voice & AI Technology Disclosure

3.1 Voice Recognition Limitations. The Ethica Assistant relies on voice recognition technology that may be affected by background noise, accents, interruptions, speech patterns, or technical limitations. Voice recordings and transcriptions may be inaccurate, incomplete, or misinterpreted.

3.2 AI Output Limitations. Artificial-intelligence outputs generated by the Ethica Assistant may contain errors, omissions, or unintended results and are not verified for factual or legal accuracy.

3.3 Mandatory User Review. The Ethica Assistant assists with drafting and form completion, but Authorized Users remain responsible for reviewing, correcting, approving, and determining whether all information and documents are accurate, complete, compliant, and ready for use, delivery, submission, filing, or signature.

3.4 Consent to Recordings; Notice. Authorized Users are solely responsible for providing legally sufficient notice and obtaining all required consents from any participant whose voice or communications may be recorded, transcribed, or otherwise processed through the Ethica Assistant, and for complying with all applicable federal, state, and local laws and brokerage/MLS policies governing recordings and communications.

3.5 Third-Party Processing. The Ethica Assistant may process User Content using third-party service providers (including transcription and AI processing providers) acting as service providers/subprocessors under the Terms.

3.6 Retention and Deletion. The Ethica Assistant records, including recordings, transcripts, prompts, dictated entries, generated outputs, form entries, transaction data, audit logs, support records, device/account identifiers, and related usage metadata, may be retained as needed to operate the Service, support users, maintain security and auditability, comply with legal obligations, respond to disputes or legal process, and preserve appropriate business records. Deletion requests may be limited where retention is required or appropriate for legal, compliance, audit, security, dispute-resolution, operational, backup, or business-record purposes.

3.7 Broker and Administrative Access. Ethica may disclose relevant Ethica Assistant records to authorized broker, brokerage administrator, C.A.R., support, compliance, security, legal, or other authorized representatives where Ethica determines the request is appropriately authorized and reasonably related to support, supervision, compliance, security, dispute review, legal obligations, or operation of the Service. Ethica may review such requests case by case and may limit disclosure based on authorization, privacy, security, compliance, and request scope.

4 · Responsibility for Forms, Filings, and Transactions

Ethica does not submit documents, forms, or filings generated or assisted by the Ethica Assistant to MLSs, brokerages, regulators, counterparties, or transaction platforms without the Authorized User’s instruction or authorization.

Ethica does not guarantee acceptance, accuracy, or timeliness of any document, form, or transaction. All responsibility for transaction execution, deadlines, disclosures, and compliance remains solely with the Authorized User and their brokerage.

5 · Data Use & MLS Compatibility

5.1 User Content. Voice recordings, transcriptions, and related inputs processed by the Ethica Assistant constitute User Content under the Terms.

5.2 MLS Data Controls. All use of MLS Data through the Ethica Assistant remains subject to the MLS Data Addendum. Nothing in this Addendum expands or modifies permitted MLS Data usage.

5.3 Ethica Assistant MLS/Listing Data Scope. For the Ethica Assistant, MLS/listing data is used only as needed to verify or populate property-related transaction details and is not offered as a searchable MLS interface. The Ethica Assistant does not store listing data except as reflected in forms, drafts, logs, or records created through the Service, subject to the MLS Data Addendum and applicable MLS rules.

5.4 No MLS Training Rights. MLS Data is not used to train general-purpose artificial-intelligence models except where expressly permitted under applicable MLS data-license agreements.

5.5 No External LLM Training. Ethica does not use user prompts, recordings, transcripts, transaction data, or outputs to train unrelated or external large language models.

6 · Limitation on Reliance & Use Restrictions

6.1 Limitation on Reliance. All Ethica Assistant outputs are assistive only and may not be relied upon as final, authoritative, complete, or accurate representations of transaction details, legal obligations, property characteristics, or compliance requirements.

6.2 No Consumer Reliance; No Fiduciary Duty. The Ethica Assistant does not create any agency, fiduciary, or professional duty and does not make representations or warranties regarding any property or transaction. Authorized Users must not present Ethica Assistant outputs to consumers or other parties as authoritative or as a substitute for professional review.

6.3 Fair Housing; Non-Discrimination. Authorized Users may not use the Ethica Assistant to generate, suggest, or distribute content that is discriminatory, expresses a preference or limitation, constitutes steering, or otherwise violates applicable fair housing laws or REALTOR® ethical obligations. Authorized Users are solely responsible for ensuring all communications and materials comply with applicable fair housing and advertising laws and professional standards.

6.4 No Decisioning or Professional Advice. The Ethica Assistant does not provide legal advice, brokerage advice, compliance determinations, or professional advice, and does not make eligibility, approval, ranking, pricing, screening, or access decisions.

7 · Suspension or Limitation of the Ethica Assistant

Ethica may suspend, limit, or disable Ethica Assistant functionality at any time if misuse is suspected, if required by MLS rules or legal obligations, if continued operation poses legal or compliance risk, or if applicable fees are unpaid.

8 · Disclaimer of Warranties

The Ethica Assistant is provided “AS IS,” “WITH ALL FAULTS,” and “AS AVAILABLE.” Without limiting the Terms, Ethica expressly disclaims all warranties related to the Ethica Assistant, including any warranties of transcription accuracy, AI output accuracy, document completeness, merchantability, fitness for a particular purpose, or transaction suitability.

9 · Conflicts & Order of Precedence

If any provision of this Addendum conflicts with the Terms, this Addendum controls solely with respect to Ethica Assistant functionality. If any provision conflicts with the MLS Data Addendum, the MLS Data Addendum controls with respect to MLS Data. All other provisions of the Terms remain in full force and effect.

Except as expressly set forth in this Addendum, all other provisions of the Terms remain unchanged.
